In return for six shares of BNP Paribas Bank Poland that bank shareholders will receive five shares BGZ. The target on the stock exchange quoted shares are to be merged bank – Bank BGZ BNP Paribas SA.

BGZ Bank and BNP Paribas Bank of Poland on October 10 agreed and signed a plan of merger of the two banks, as a result of the creation of Bank BGZ BNP Paribas.

Connection will be to transfer all the assets of the BNP Paribas Bank at Bank BGZ Poland. At the same time will increase the capital of the Bank BGZ, the amount of 56,138,764 to 84,238,318 zł zł through the issuance of 28,099,554 shares. Bank BGZ will release issued shares to the existing shareholders of BNP Paribas Bank of Poland.

According to earlier reports, the legal merger of the two banks is planned for the first half of 2015., While the operational merger to be completed in 2016.

The new merged bank is to operate under the name of Bank BGZ legal BNP Paribas.

In mid-September, BNP Paribas took control of Bank BGZ.

Total assets of the merged banks will amount to 60 billion zł, which will make it a seven largest bank in Poland. The value of the loan portfolio will total 45 billion zł, and the balance of deposits of 36 billion zł.



In the first half of 2014. BGZ bank’s net profit amounted to 108.5 mln zł, and BNP Paribas Bank Poland 49.7 million zł. BGZ is approx. 400 branches and more than 1.1 million individual customers.

BNP Paribas Bank Poland has 223 retail branches, 27 centers dedicated to the SME sector and 9 centers for corporate banking clients. The Bank has 375.5 thousand. customers.

In December 2013., BNP Paribas and Rabobank Group announced an agreement for the sale of 98.5 percent. BGZ Bank’s shares for the amount of 4.2 billion zł.
